These Terms of Service ("Terms") govern your use of the Rezora website and services, including FloChat, operated by Rezora Ltd ("Rezora", "we", "us", or "our"). By accessing or using our services you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing our platform, or using any of our services, you confirm that you are at least 18 years of age, have the authority to enter into these Terms on behalf of yourself or your organisation, and have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Description of Services
Rezora provides the following services:
- FloChat SaaS — an AI-powered messaging automation platform for Instagram, Facebook, and Telegram
- Custom Automation Services — bespoke software development and automation consulting
- Integration Services — connecting third-party tools and APIs as part of automation workflows
3. Account Registration
To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity occurring under your account. Notify us immediately at hello@rezora.tech if you suspect any unauthorised access.
4. Permitted Use
You may use our services only for lawful purposes and in accordance with these Terms. You must not:
- Use the services to send spam, unsolicited messages, or violate messaging platform policies (including Meta's Platform Terms)
- Attempt to reverse engineer, decompile, or extract source code from our software
- Use the services to engage in fraud, impersonation, or deceptive practices
- Circumvent any rate limits, security measures, or usage restrictions
- Resell, sublicense, or transfer your account without written consent
5. Subscription and Payment
FloChat is offered on a subscription basis. Fees are billed in advance on a monthly or annual cycle. All payments are processed securely by Stripe. By providing payment details you authorise us to charge the applicable fees. Subscriptions auto-renew unless cancelled before the renewal date. No refunds are issued for partial billing periods unless required by law.
6. Custom Services
Custom automation projects are governed by individual Statements of Work (SOW) agreed between Rezora and the client. Payment terms, deliverables, timelines, and intellectual property arrangements will be specified in the SOW. These Terms apply in addition to any SOW.
7. Third-Party Integrations
Our services integrate with third-party platforms including Meta (Instagram, Facebook), Telegram, Google, Calendly, Stripe, and others. Your use of these integrations is subject to the respective third-party terms. We are not responsible for any changes, restrictions, or termination of third-party platform access.
8. Data and Privacy
Your use of our services is subject to our Privacy Policy. You agree not to input personally identifiable information of third parties without appropriate legal basis. You are the data controller for end-user data processed through our platform; Rezora acts as a data processor.
9. Intellectual Property
Rezora retains all rights, title, and interest in its platform, software, branding, and content. You retain ownership of your business data and content. You grant us a limited licence to process your data solely to provide the services.
10. Disclaimers
Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that the services will be uninterrupted, error-free, or meet your specific requirements. AI-generated responses may occasionally be inaccurate — you are responsible for reviewing and validating automated outputs.
11. Limitation of Liability
To the fullest extent permitted by law, Rezora shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid us in the 3 months preceding the claim.
12. Termination
You may cancel your subscription at any time through your account dashboard or by emailing us. We may suspend or terminate your access if you breach these Terms, with notice where reasonably practicable. Upon termination, your data will be retained for 30 days then deleted in accordance with our data retention policy.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of the services after the effective date constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
